Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Klosiq mobile application (the “App”) and related services provided by Klosiq Canada Inc. (“Klosiq,” “we,” “us,” or “our”), incorporated in Ontario, Canada.

By creating an account or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.

2. Eligibility

You must be at least 13 years of age to use the App (or 16 years of age if you are located in the EU or UK). By using the App, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. The Klosiq Service

Klosiq provides an AI-powered wardrobe management and outfit recommendation service. The App allows you to:

  • Upload and organize photographs and metadata of your clothing items.
  • Receive personalized outfit recommendations generated by our AI scoring engine.
  • Manage your wardrobe digitally through a structured onboarding and tagging methodology.

Our recommendations are generated for personal style assistance purposes only. We make no guarantees regarding the accuracy, completeness, or suitability of any recommendation for your specific needs.

5. Subscription and Fees

5.1 Free Tier

Klosiq offers a free tier with access to core features, as described in the App at the time of use. Free tier features and limitations are subject to change with reasonable notice.

5.2 Paid Subscriptions

Premium features are available through a paid subscription. Subscription fees, billing cycles, and included features are described in the App. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis until you cancel.

5.3 Cancellation and Refunds

You may cancel your subscription at any time through the App or your device’s subscription management settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

6. User Content

6.1 Your Content

You retain ownership of all photographs, descriptions, and other content you upload to the App (“User Content”). By uploading User Content, you grant Klosiq a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the App’s features to you.

6.2 Content Standards

You agree not to upload or submit content that:

  • Infringes any third-party intellectual property, privacy, or other rights.
  • Is unlawful, offensive, defamatory, or harmful.
  • Contains malware, viruses, or other harmful code.
  • Misrepresents your identity or affiliation.

6.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise objectionable.

7. Intellectual Property

All content, features, functionality, design elements, trademarks, logos, and software comprising the App (excluding User Content) are the exclusive property of Klosiq Canada Inc. or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or otherwise exploit any part of the App without our prior written consent.

8. Prohibited Conduct

You agree not to:

  • Use the App for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorized access to any part of the App or its systems.
  • Reverse engineer, decompile, or disassemble the App.
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the App.
  • Interfere with or disrupt the integrity or performance of the App.
  • Use the App to transmit unsolicited commercial communications.

9. Affiliate Links and Third-Party Services

The App may contain affiliate links to third-party retailers and services. If you purchase a product through an affiliate link, Klosiq may earn a commission at no additional cost to you. We only include links to products and services we believe may be relevant to our users.

Klosiq is not responsible for the content, privacy practices, or terms of any third-party websites or services accessed through the App. Your interactions with third parties are solely between you and that third party.

10. Disclaimers

THE APP AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated outfit recommendations are provided for convenience and personal inspiration only and do not constitute professional styling or fashion advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLOSIQ CANADA INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO KLOSIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) CAD $50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Klosiq Canada Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may terminate your account at any time by deleting it within the App.

Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the App shall first be subject to good faith negotiation. If unresolved within 30 days, either party may pursue resolution through the courts of Ontario, Canada, and you hereby consent to the exclusive jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification and will update the Effective Date. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

16. General

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Klosiq regarding use of the App.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
